Welcome to Ushauri Tech’s SME Digital Launchpad. These Terms govern your use and subscription to our managed website hosting and email service (the “Service”). By subscribing, you agree to these Terms.
Ushauri Tech provides a customizable website, hosting, professional email accounts, security, updates, and support for Kenyan SMEs. The specifics of your package are described on the sales page.
3.1. Subscription Plans: You may choose from a 3-month, 6-month, or 12-month subscription plan. Subscription fees cover website design, hosting, email setup, maintenance, and support over the chosen term.
3.2. Payment Method: Payments are processed via Paystack using your credit or debit card. By subscribing, you authorize Ushauri Tech Ltd to charge your chosen payment method automatically at the start of each billing cycle.
3.3. Authorization & Retry: You agree to maintain valid payment details. If a payment fails (e.g., expired card), we will retry the charge within 7 days. Failure to pay may result in service suspension.
3.4. Price Locks & Changes: Your subscription price is fixed for your initial term. Any future price changes will be communicated at least 30 days in advance and apply only to renewal periods.
3.5. Non-Refundable: Subscription fees are non-refundable once the payment period has begun. You must cancel at least 24 hours before the next billing date to avoid charges for future periods.
4.1. Domain Ownership: The domain associated with your website is registered in your name and owned by you at all times.
4.2. Website Ownership: Website design, source code, and associated files remain the intellectual property of Ushauri Tech while your subscription is active.
4.3. Full Ownership Transfer: After completing 12 continuous months of subscription payments, you are entitled to request transfer of full ownership of your website files and design.
4.4. Early Termination Buyout: Should you cancel before 12 months, ownership of the website files remains with Ushauri Tech. You may request an early transfer by paying the remaining balance of the 12-month subscription upfront.
5.1. Cancellation Rights: You may cancel your subscription at any time by notifying Ushauri Tech via email or WhatsApp.
5.2. Effect of Cancellation: Upon cancellation, hosting, email, and support will continue until the end of your paid term and cease thereafter.
5.3. Suspension for Non-Payment: Failure to keep payments current may result in suspension or termination of service.
6.1. Information Provision: You agree to supply timely, accurate business information, files, branding, and content as requested by Ushauri Tech.
6.2. Build Timeline: Website development will commence once all necessary materials are received and typically completes within 7-14 business days.
6.3. Updates Included: Your subscription includes two minor content updates per month. Major redesigns are subject to additional charges.
7.1. Scope of Support: Ushauri Tech provides ongoing maintenance, security patches, backups, uptime monitoring, and technical support via WhatsApp and email during business hours.
7.2. Response Time: Support requests will be addressed within 24 hours.
8.1. Confidentiality: We treat your information with strict confidentiality and will not disclose it without your consent except as required by law.
8.2. Compliance: Our data handling complies with applicable Kenyan data protection laws.
9.1. Ushauri Tech is not liable for indirect, incidental, consequential, or punitive damages, loss of profit or business interruption.
9.2. Maximum aggregate liability shall not exceed the total subscription fees paid by you in the preceding 12 months.
All intellectual property created by Ushauri Tech remains its property until full payment and 12 months of subscription, as described in Section 4.
These Terms are governed by the laws of the Republic of Kenya. Any disputes arising hereunder shall be settled via Nairobi courts or mutually agreed mediation.
Ushauri Tech reserves the right to modify these Terms by providing at least 14 days’ notice via email or website posting. Continued use after changes constitutes acceptance.
By subscribing and using the SME Digital Launchpad, you acknowledge having read, understood, and agreed to these Terms.
