Ushauri Tech provides services including (but not limited to) digital strategy, branding & design, web development, digital marketing, enterprise software, mobile app development and AI solutions .

All services are provided under a formal agreement, which outlines scope, timelines, deliverables, fees, and other project-specific details.

a) Client Responsibilities

Clients are responsible for:

• Providing timely access to required content, assets, and approvals.
• Ensuring the legality of materials supplied to Ushauri Tech.
• Full and timely payment as per the agreed terms.

b) Project Timelines

Project delivery timelines depend on client responsiveness, scope changes, and external factors. We strive to meet deadlines but are not liable for delays caused by events beyond our control.

3. Payments and Billing

• Quotes are valid for 14 days unless stated otherwise.
• A deposit (typically 50%) is required before project commencement.
• Final payment is due upon project completion and before final delivery.
• Late payments may incur interest and suspension of services.

All payments are non-refundable unless explicitly agreed in writing.

4. Intellectual Property

Unless otherwise agreed in writing:

• All custom design, code, and materials developed by Ushauri Tech remain our intellectual property until full payment is received.
• After full payment, the client owns the final deliverables.
• We reserve the right to showcase completed work in our portfolio unless a non-disclosure agreement (NDA) is in place.

5. Confidentiality

We treat all information received from clients as confidential and will not disclose it to third parties without permission, except as required by law.

Likewise, you agree not to disclose any proprietary or sensitive information about Ushauri Tech without written consent.

6. Limitation of Liability

Ushauri Tech is not liable for:

• Losses resulting from third-party tools, plugins, or platforms.
• Data loss or service interruptions due to hosting, hacking, or other technical issues.
• Indirect, incidental, or consequential damages.

Our total liability under any agreement is limited to the total fees paid to us for that specific project or service.

7. Third-Party Services

Our website and services may integrate with third-party tools (e.g., Google Analytics, hosting providers, payment gateways). Ushauri Tech is not responsible for the performance, availability, or privacy policies of those third-party services.

8. Termination

We may terminate or suspend your access to our website or services if you breach these Terms or any signed agreement. You may also terminate services by giving written notice, subject to payment for work already completed.
